Thank you for your interest in becoming a vendor on the Black Learners Matter Too™ (BLMT) Marketplace. To ensure a safe, ethical, and mission-aligned environment, all vendors must read and agree to the terms below before submitting the Vendor Application Form.


⭐ 1. Acceptance Into the Marketplace

Vendor participation is subject to review and approval by QRES.
Approval is not guaranteed.
QRES may approve, deny, or revoke vendor status at any time and for any reason.


 2. Mission Alignment

Vendors must support the mission of Black Learners Matter Too™—uplifting and empowering Black learners, families, youth entrepreneurs, and community-centered businesses.

Vendors agree not to sell items or services that contradict or undermine this mission.


3. Truthful & Accurate Representation

Vendors must:

  • Provide honest product descriptions
  • Accurately represent business identity
  • Use truthful pricing
  • Avoid deceptive marketing practices

Misrepresentation may result in removal.


 4. Product & Service Safety

All products and services must comply with:

  • Local, state, and federal laws
  • Required licenses and permits
  • Safety and labeling guidelines
  • Age-appropriate restrictions

Food vendors must meet health code standards if applicable.


5. Professional Conduct

Vendors agree to:

  • Communicate respectfully and promptly
  • Provide excellent customer care
  • Avoid harassment, hate, discriminatory behavior
  • Maintain professionalism when interacting with youth, staff, or customers

6. Youth Vendor Requirements

Youth vendors (ages 8–18) must:

  • Have a parent/guardian co-sign
  • Have adult supervision
  • Follow youth safety guidelines

Guardian oversight is required at all times.


7. Fees, Subscriptions & Commissions

Vendor participation may include:

  • Annual subscription fees
  • Marketplace listing fees
  • Optional promotional fees
  • Commission on sales (if applicable for marketplace vendors)

Fees are non-refundable unless otherwise stated.


8. Ownership of Content

Vendors retain ownership of their:

  • Product photos
  • Logos
  • Text descriptions
  • Brand materials

By participating, vendors grant QRES a non-exclusive license to use this content for:

  • Marketplace listings
  • Marketing and promotions
  • Social media features
  • Vendor spotlights

This license ends when vendor participation ends.


9. Intellectual Property Compliance

Vendors may not upload, sell, or promote:

  • Copyrighted content they do not own
  • Trademarked items without permission
  • Stolen, counterfeit, or pirated goods

QRES may remove infringing content immediately.


10. Fulfillment Responsibilities (Marketplace Vendors Only)

Vendors selling through the BLMT Marketplace must:

  • Fulfill orders promptly
  • Provide tracking when available
  • Deliver products as described
  • Handle customer inquiries professionally
  • Issue refunds when necessary
  • Resolve disputes in good faith

Repeated issues may result in suspension or termination.


11. External Links

Vendors may link to:

  • A website
  • Etsy shop
  • Shopify store
  • Linktree
  • Booking page
  • Instagram/Facebook shop

All linked sites must be safe and non-spam.


12. Prohibited Items

Vendors may NOT sell:

  • Weapons or violence-related items
  • Adult or sexually explicit materials
  • Drugs or paraphernalia
  • Hateful or discriminatory content
  • Cultural appropriation or harmful stereotypes
  • Items unsafe for children
  • Items illegal under any local, state, or federal law

13. Suspension or Termination

QRES may remove vendors for:

  • Violating the Code of Ethics
  • Providing unsafe or non-compliant products
  • Fraudulent behavior
  • Non-payment
  • Repeated customer complaints
  • Harassment or misconduct
  • Policy violations

All decisions are final.


14. Limitation of Liability

QRES is not responsible for:

  • Vendor profits, losses, or damages
  • Product safety or compliance
  • Customer disputes
  • Shipping issues
  • Financial outcomes
  • Marketplace interruptions
  • Vendor negligence or misconduct

Vendors participate at their own risk.


15. Indemnification

Vendors agree to indemnify and hold harmless:

  • Black Learners Matter Too™
  • Quarantine Racism Educational Services
  • Its owners, officers, staff, and affiliates

from any claims, damages, losses, liability, or legal actions arising from:

  • Vendor products or services
  • Vendor conduct
  • Legal violations
  • Intellectual property infringement
  • Customer interactions
  • Business practices

16. Dispute Resolution — Mandatory Binding Arbitration

To promote fairness, reduce legal costs, and maintain clarity for all parties, all disputes must follow the terms below.

16.1 Governing Law

This Agreement is governed by the laws of the State of New Jersey.

16.2 Arbitration Requirement

All disputes, claims, or controversies related to vendor participation must be resolved exclusively through binding arbitration, not through court litigation.

You voluntarily waive the right to:

  • File a lawsuit
  • Request a judge or jury trial
  • Litigate claims in any court

Arbitration is the exclusive dispute resolution method.

16.3 Venue

Arbitration must take place in Burlington County, New Jersey.

16.4 Rules

Arbitration shall follow the rules of the American Arbitration Association (AAA) or a similar recognized body.

16.5 No Class Actions

Disputes must be resolved individually. Vendors waive participation in:

  • Class-action lawsuits
  • Class-wide arbitration
  • Multi-vendor consolidated claims

16.6 Costs

Each party is responsible for their own legal and arbitration costs unless required otherwise by law.

16.7 Final Decision

The arbitrator’s decision is final, binding, and enforceable in any court with proper jurisdiction.


17. Youth Vendor Commission Policy

The Black Learners Matter Too™ (BLMT) Marketplace supports youth entrepreneurship while maintaining strong safeguards for families and community trust.

Approved Youth Vendors (ages 8–18) receive 100% of their eligible earnings. Platform commissions that may appear at the system level are waived by BLMT as a matter of policy.

To ensure youth safety and compliance:

  • Youth payouts may be handled manually
  • A parent or legal guardian may be required to receive funds
  • Automated withdrawal tools may be limited or disabled
  • All youth listings and transactions are subject to administrative review

Youth Vendor categories are assigned by BLMT administrators after approval. Youth Vendors do not self-select Youth categories during product creation.


18. Agreement & Acceptance

By submitting the Vendor Application Form, the vendor affirms that:

  • They have read and understand the Vendor Agreement
  • They consent to all terms and requirements
  • They agree to the Code of Ethics
  • They accept Section 16 (Mandatory Binding Arbitration)
  • All submitted information is accurate and truthful
