Vendor Code of Ethics (Summary)

Every BLMT Marketplace Vendor is expected to uphold the highest standards of integrity, safety, respect, and mission alignment. By applying to become a vendor, you agree to follow the Vendor Code of Ethics outlined below.

✔ Integrity & Honesty

Vendors must represent their products, services, pricing, and business practices truthfully. Misrepresentation or deceptive practices are not permitted.

✔ Respect for the BLMT Mission

Vendors must support the Black Learners Matter Too™ mission and exhibit cultural respect, anti-discriminatory values, and equity-centered practices.

✔ Safe, Legal, and Compliant Practices

All products and services must follow applicable laws, safety guidelines, permits, and licensing requirements. Restricted or unsafe products are prohibited.

✔ Professional Conduct

All communication with customers, staff, and the BLMT community must be respectful, timely, and professional.

✔ Quality & Customer Care

Vendors are expected to deliver high-quality products and services, maintain transparency, and address customer concerns promptly.

✔ Brand Integrity

Unauthorized use of BLMT logos, branding, or misleading endorsements is not allowed.

VENDOR AGREEMENT

Black Learners Matter Too™ Marketplace
Operated by Quarantine Racism Educational Services (QRES)

Thank you for your interest in becoming a vendor on the Black Learners Matter Too™ (BLMT) Marketplace.
This Vendor Agreement outlines the terms, obligations, rights, and responsibilities of all approved vendors.
By applying to or participating in the BLMT Marketplace, you agree to the following:

1. Acceptance Into the Marketplace

Vendor participation is subject to review and approval by Quarantine Racism Educational Services (QRES).
Approval is not guaranteed, and QRES may accept or deny applications at its sole discretion.

 2. Mission Alignment

All vendors must support the purpose of the BLMT Marketplace: uplifting Black learners, families, entrepreneurs, and community members through culturally affirming, ethical, and educational commerce.

Vendors agree not to sell or promote items that contradict the mission, discriminate against protected groups, or misrepresent cultural practices.

3. Truthful Representation

Vendors must provide accurate information about:

  • Business identity
  • Products and services
  • Pricing
  • Availability
  • Shipping and fulfillment

Deceptive practices may result in suspension or permanent removal.

4. Product & Service Safety

All products and services offered must comply with all applicable federal, state, and local regulations, including (but not limited to):

  • Labeling laws
  • Health codes
  • Safety standards
  • Licensing requirements
  • Permits (where applicable)

Vendors are solely responsible for ensuring compliance.

5. Professional Conduct

Vendors agree to:

  • Provide respectful and timely communication
  • Deliver high-quality products or services
  • Conduct themselves in a manner consistent with QRES values
  • Avoid harassment, discrimination, or harmful behavior
  • Maintain appropriate communication with youth vendors and customers

6. Youth Vendor Requirements

Youth vendors (ages 8–18) must have:

  • A parent or guardian co-sign
  • Active guardian oversight
  • Compliance with youth safety guidelines

7. Fees, Memberships & Commissions

Vendor fees and commissions vary by tier. Vendors agree to pay:

  • Annual subscription fees (where applicable)
  • Marketplace sales commissions (if applicable)
  • Optional directory or promotional upgrade fees

Vendor fees are non-refundable unless otherwise stated.

8. Ownership of Content

Vendors retain ownership of their own:

  • Logos
  • Text
  • Photos
  • Product listings
  • Business information

By participating, vendors grant QRES a non-exclusive license to use their materials for:

  • Marketplace display
  • Marketing
  • Directory listings
  • Promotions
  • Community visibility

This license ends when the vendor is removed or cancels participation.

9. Intellectual Property Protection

Vendors may not upload or sell content that infringes on copyrights, trademarks, or proprietary rights.
QRES may remove infringing materials at its discretion.

10. Vendor Responsibilities for Transactions (Marketplace Vendors Only)

Marketplace vendors are responsible for:

  • Order fulfillment
  • Shipping on time
  • Providing tracking information
  • Handling refunds in accordance with platform policy
  • Responding promptly to customer inquiries
  • Providing high-quality goods/services

Repeated service failures may result in removal.

11. Vendor Links to External Websites

Vendors may link to their:

  • Website
  • Etsy shop
  • Shopify store
  • Instagram
  • Facebook
  • Booking link

External sites must be safe, legal, and free of malware.

12. Prohibited Items & Practices

Vendors may not sell or promote:

  • Weapons, drugs, or drug paraphernalia
  • Adult content or sexually explicit material
  • Hate speech or discriminatory products
  • Counterfeit or stolen goods
  • Harmful stereotypes or cultural misappropriation
  • Products dangerous to youth or families

13. Suspension or Termination

QRES reserves the right to:

  • Remove listings
  • Suspend a vendor
  • Terminate participation

…for any reason including:

  • Policy violations
  • Unsafe products
  • Legal concerns
  • Fraud
  • Failure to uphold the Code of Ethics
  • Non-payment of required fees

14. Limitation of Liability

QRES is not responsible for:

  • Vendor profits or losses
  • Customer disputes
  • Product safety
  • Vendor legal issues
  • Shipping delays
  • Damages arising from vendor negligence

Vendors participate at their own risk.

15. Indemnification

Vendors agree to indemnify and hold harmless:

  • Black Learners Matter Too™
  • Quarantine Racism Educational Services
  • Its officers, directors, employees, and contractors

…from any claims, losses, damages, or legal actions arising from their:

  • Products
  • Services
  • Business practices
  • Communications
  • Violations of laws or regulations

16. Dispute Resolution — Mandatory Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to your participation as a vendor on the BLMT Marketplace, including matters related to your products, services, conduct, business practices, or this Vendor Agreement, shall be resolved exclusively through binding arbitration.

The following conditions apply:

✔ Governing Law

This Agreement shall be governed by the laws of the State of New Jersey.

✔ Arbitration Location

All arbitration proceedings shall take place exclusively in Burlington County, New Jersey.

✔ Arbitration Rules

Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) or a similar recognized arbitration body.

✔ No Class Actions

You agree not to participate in, file, or join any class-action lawsuit or class-wide arbitration against Black Learners Matter Too™, Quarantine Racism Educational Services, or its owners, directors, staff, or affiliates.

✔ Limited Remedies

The arbitrator may award legal or equitable relief permitted by law, but may not award punitive damages unless required by statute.

✔ Exclusive Process

Arbitration is the exclusive method for resolving disputes.
Both parties waive their right to:

  • File a lawsuit in court
  • Request a jury trial
  • Litigate disputes in any other venue

17. Agreement & Acceptance

By submitting a Vendor Application, paying any applicable fees, or participating in the BLMT Marketplace, you acknowledge that:

  • You have read this Vendor Agreement in full
  • You agree to all terms and policies
  • You agree to the Vendor Code of Ethics
  • You agree to the legal venue, dispute clause, and compliance requirements
